Straightforward Terms for Smooth Transactions

Introduction  

These terms outline the conditions for purchasing goods from Shop Solutions Midlands (“the Company”). By ordering from us, you (“the Customer”) agree to these terms.

  1. Definitions

– Company: Refers to Shop Solutions Midlands.

– Customer: The individual or entity purchasing goods.

– Goods: Any products sold by the Company to the Customer.

– Terms: The set conditions stated in this document.

  1. Applicability of Terms  

These terms apply to all sales made by Scotland Shop Fit. Any changes or exceptions to these terms must be confirmed in writing by the Company. No employee or agent is authorized to alter or amend these terms without written consent.

  1. Prices  

The price of goods is confirmed at the time of order. However, before the payment is made, prices may change without prior notice.

  1. Payment Terms  

– Payment is required in full when placing an order.

– Invoices must be settled within 30 days unless an alternative agreement is made. Late payments incur a 5% interest charge above the Bank of England Base Rate.

– Disputes on any invoice must be raised within 7 days, and only the undisputed amount should be paid within the usual payment terms.

– Should the scope of work change, the Company reserves the right to adjust the quoted fee accordingly.

  1. Delivery and Collection

– The Customer must collect or accept delivery of the goods within 5 days of notification. If not, the Company reserves the right to charge for storage.

– If goods are not collected within 21 days, the Company may cancel the order, retain the deposit, and resell the goods.

– Delivery may occur in installments, and delays in any part of the order do not grant the Customer the right to cancel the entire order.

– Delivery estimates are between 8 AM – 6 PM, Monday through Friday, unless otherwise agreed upon in writing. Delivery charges are extra unless specified.

– It is the Customer’s responsibility to ensure appropriate parking and access for delivery.

  1. Title and Ownership  

Ownership of the goods remains with the Company until full payment is received. However, the risk passes to the Customer upon delivery or collection.

  1. Risk and Insurance  

The Customer assumes all risk once the goods are delivered or collected. The Customer is responsible for insuring the goods against potential risks, including theft and damage, from the moment of delivery.

  1. Inspection of Goods  

Customers must inspect goods upon receipt. If there are any defects or discrepancies, they must notify the Company within two days. Otherwise, the goods are deemed accepted.

  1. Cancellations  

Orders can only be canceled or modified with the Company’s written consent. A cancellation fee of at least 20% may apply. In some cases, the Company may offer a credit note or allow an exchange, valid for up to 30 days.

  1. Limited Liability  

These terms comply with the Sale of Goods Act 1979. The Company is not liable for delays, defects, or damages beyond its control. If an issue arises, the Company will either replace the goods, repair them, or refund the cost.

  1. Warranty  

Goods are covered by the manufacturer’s warranty. Defective goods should not be repaired by the Customer without the Company’s written consent.

  1. Display and Samples  

Any samples or display items are for reference only and do not constitute a sale by sample.

  1. Force Majeure  

The Company will not be held liable for any delays or breaches caused by events beyond its control, such as natural disasters, strikes, or transport breakdowns.

  1. Waiver  

Failure by the Company to enforce any of these terms does not mean it waives its rights for future enforcement.

  1. Assignment  

The Customer cannot transfer rights under this contract to a third party without the Company’s written consent.

  1. Severability  

If any part of these terms is found to be invalid by a court, the rest of the terms will remain in effect.

These terms ensure a clear understanding between Shop Solutions Midlands and the Customer, creating a fair and transparent relationship for all transactions.
